Magnum Ice Cream Netherlands Acquires Majority Stake in Kwality Wall’s India, Marks New Leadership Era

Magnum Ice Cream Company Netherlands BV has formally completed the acquisition of a 61.9% majority stake in Kwality Wall’s India Limited (KWIL). This strategic move signals a major shift in promoter control and sets the stage for a new phase of growth and transformation for the iconic Indian brand.

The acquisition was executed under a Share Purchase Agreement signed in June 2025, through which Magnum Ice Cream Company Netherlands BV acquired 145.44 crore shares from Unilever, the outgoing promoter. Following the transaction, Unilever has been reclassified from the “promoter” category to the “public” category, marking a complete transition in ownership and governance.

With this deal, Magnum Ice Cream Netherlands now holds a controlling interest in KWIL and is officially recognised as the company’s promoter under applicable Listing Regulations. The acquisition underscores Magnum’s commitment to strengthening its footprint in one of the world’s fastest-growing ice cream markets.

As part of this transition, KWIL has also announced key leadership changes. Abhijit Bhattacharya has been appointed as an additional non-executive director and chairman of the board. Meanwhile, Ritesh Tiwari has stepped down from his position, marking the beginning of a new governance structure aligned with the incoming promoter’s strategic vision.

This leadership reshuffle is expected to bring fresh direction and strategic focus as the company navigates evolving consumer preferences and increasing competition in the premium and mass ice cream segments. Magnum’s global expertise in brand building and innovation is likely to play a pivotal role in enhancing KWIL’s product portfolio and market positioning.

India’s ice cream industry has been witnessing rapid growth, driven by rising disposable incomes, urbanisation, and changing consumption habits. With this acquisition, Magnum Ice Cream Netherlands is well-positioned to leverage KWIL’s strong brand legacy and extensive distribution network to accelerate growth across both urban and emerging markets.

The transition also reflects a broader trend of global brands deepening their investments in India, recognising the country’s immense consumption potential. For KWIL, this marks not just a change in ownership but a strategic evolution aimed at unlocking new opportunities and delivering enhanced value to consumers.

As Magnum takes the helm, the industry will be closely watching how this partnership reshapes the competitive landscape and drives innovation in India’s dynamic ice cream market.
